msi cr640 loops back to bios password

greets all!

first i must apologize for my limited knowledge and understanding of computer systems, my knowledge is basic and so i will endeavour to explain the problem as best as i can.
i came home from work yesterday and my partner told me the laptop (msi cr640) would not restore from 'sleep mode'. upon trying numerous means to restore it to normal operation i found it finally rebooted after crashing the battery(taking it out while it still showed signs of being on)... from here it would go straight to BIOS password and whatever i try to do before and after entering the BIOS utility it will always loop back to BIOS password. the BIOS utility is Aptio:

MSI BIOS version-E16Y1Ims.204
EC Version-16y1EMST50
processor info-intel core i3-2310M cpu @2.10 GHz / 2100MHz / dual
memory-4gig
windows 7- 64 bit

legacy USB support appears to be enabled too, i was considering a flashdrive boot option but im not sure where to go with it yet.
in the "boot" section of aptio, "boot config" is blackened and cannot be selected NOR can "boot option priorities".. so i am at a loss with trying to use my windows repair disc- as i cannot change the startup priorities to start with CDROM. i found once i played with disabling "fast boot" option (within the same section) i went from simply going straight to bios password to seeing the MSI logo with [del], [f3] and [f11] options to enter into various start up options.. alas when i try these (and ALL other 'fkey' options) nothing happens i have tried to enter esc, ctrl+esc, ctrl+alt+esc, del, all fkey variations, upon booting up but nothing happens, it goes straight to bios password.. i go to aptio setup utility, and try all the exit options- "discard changes and exit", "save changes and reset" and "load optimised defaults" it will act as if exiting utility then loop back to initial BIOS password screen. it appears that all options to alter boot processes are darkened and cannot be selected, so i cant enter into any other boot menu or use the repair disc at this stage...

at a loss, any help would be greatly appreciated!
